FELYX JOBS — TERMS OF SERVICE DRAFT FOR ATTORNEY REVIEW — NOT FOR PUBLICATION These Terms of Service ("Terms") are an agreement between you and Fylix Digital LLC, a Texas limited liability company ("Fylix," "we," "us"), which operates the Felyx Jobs software and website (the "Service"). By creating an account, ticking the box at signup, or using the Service, you agree to these Terms. If you do not agree, do not use the Service. IMPORTANT: SECTION 13 CONTAINS A BINDING ARBITRATION AGREEMENT AND CLASS-ACTION WAIVER. SECTIONS 10–12 LIMIT OUR LIABILITY. PLEASE READ THEM. 1. WHAT FELYX JOBS IS 1.1 Felyx Jobs is a software tool that (a) searches approved job sources for openings that may fit your resume, (b) during a live session you start and attend, pre-fills employer application forms using information you have provided, (c) drafts tailored resumes and cover letters from your own information for your review, and (d) organizes employer replies that you choose to forward to us. 1.2 Felyx Jobs is not an employer, staffing agency, recruiter, employment agency, career counselor or legal advisor. We do not guarantee interviews, offers, employment, or any result. 2. YOU ARE THE APPLICANT AND THE OPERATOR 2.1 You direct every action the Service takes on your behalf. Applications are completed only in a live session that you start and attend. You review and approve every screen, answer every question the Service cannot answer from your information, choose which resume to attach, sign each application, and personally click the employer's final Submit button. 2.2 The Service does not submit applications on its own and is designed so that it cannot. 2.3 You are solely responsible for the truth, accuracy and completeness of everything submitted under your name, including information pre-filled by the Service, tailored resumes and cover letters you approve. 3. YOUR USE IS AT YOUR OWN RISK 3.1 YOU USE THE SERVICE AT YOUR OWN RISK. Risks include, without limitation: errors or omissions in pre-filled fields, tailored resumes or cover letters; applications that are rejected, incomplete, duplicated or not received; suspension or termination of accounts you hold with third-party websites; missed deadlines; and outages or interruptions of the Service. 3.2 You must review every field and document before approving it. Approving a screen or signing an application confirms that you have done so. 4. AI-GENERATED CONTENT 4.1 The Service uses artificial-intelligence models to match jobs, suggest answers, tailor resumes and draft cover letters. AI output can be wrong, incomplete or inappropriate. 4.2 The Service is designed not to invent facts: it fills fields only from your profile and saved answers, asks you when it does not know, and flags tailored-resume changes that introduce information not found in your original resume. These safeguards can fail. You remain responsible for all content you approve. 5. THIRD-PARTY WEBSITES 5.1 Employer and job-board websites are operated by third parties under their own terms. You are responsible for complying with them. 5.2 We exclude websites that, to our knowledge, prohibit automated access, and we publish that list. We do not guarantee the list is complete or current, and we are not responsible for any third party's actions, including suspending your account. 5.3 The Service will never attempt to bypass a CAPTCHA, text-message code or other security measure. You must complete those steps yourself. 6. EMAIL FORWARDING 6.1 If you set up forwarding to your Felyx address, we receive and store the messages you forward in order to update your application tracker and to show verification codes during a live session. 6.2 Felyx never replies to, forwards or sends email to employers or other third parties. The only email we send is notifications to you. Verification codes and links are used only during a live application session, with your approval, by entering the code or opening the link in the application browser. 7. ELECTRONIC SIGNATURES AND RECORDS 7.1 You agree to sign applications electronically by typing your full legal name and today's date, as described in our Consent to Electronic Records and Signatures. Your typed signature has the same effect as your handwritten signature. 7.2 We record evidence of each signature, including the time, your IP address, browser information and a fingerprint of the signed content, and keep it for seven (7) years after signing, even if you close your account, unless a longer period is required by law or a legal hold. 8. YOUR ACCOUNT AND ACCEPTABLE USE 8.1 You must be at least 18 years old and legally able to enter into this agreement. 8.2 You must provide accurate information and keep your password secure. You may not: provide false information; apply under another person's identity or for another person; misrepresent your qualifications; use the Service to harass or spam employers; attempt to circumvent website security or the Service's safeguards; reverse engineer the Service; or use it in violation of law. 8.3 We may suspend or close accounts that violate these Terms. 9. FEES 9.1 Paid plans are billed in advance through our payment processor and renew automatically until cancelled. Fees are non-refundable except where required by law. Plan limits (for example, live applications per month) are shown at purchase. We may change prices with at least 30 days' notice. 10. DISCLAIMER OF WARRANTIES TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AND UNINTERRUPTED OR ERROR-FREE OPERATION. 11. LIMITATION OF LIABILITY TO THE MAXIMUM EXTENT PERMITTED BY LAW: (A) FYLIX AND ITS MEMBERS, MANAGERS, EMPLOYEES AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR LOST EMPLOYMENT OPPORTUNITIES, WAGES, PROFITS OR DATA, OR ACCOUNT SUSPENSIONS BY THIRD PARTIES; AND (B) OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF THE FEES YOU PAID US IN THE TWELVE (12) MONTHS BEFORE THE CLAIM OR ONE HUNDRED U.S. DOLLARS ($100). SOME JURISDICTIONS DO NOT ALLOW THESE LIMITATIONS, SO THEY MAY NOT FULLY APPLY TO YOU. 12. INDEMNIFICATION You will defend, indemnify and hold harmless Fylix from claims, losses and expenses (including reasonable attorneys' fees) arising from information you submit, your applications, your breach of these Terms, or your violation of any law or third-party terms. 13. DISPUTE RESOLUTION; ARBITRATION; CLASS-ACTION WAIVER 13.1 Governing law. These Terms are governed by the laws of the State of Texas, without regard to conflict-of-laws rules, and the Federal Arbitration Act. 13.2 Informal resolution. Before filing a claim, contact support@felyxjobs.com and try to resolve it informally for 30 days. 13.3 Arbitration. Any unresolved dispute will be resolved by binding individual arbitration administered by [ARBITRATION PROVIDER] under its consumer rules, except that either party may bring an individual claim in small-claims court. 13.4 Class-action waiver. Claims may be brought only individually, not as a plaintiff or class member in any class, collective or representative proceeding. 13.5 Opt-out. You may opt out of arbitration within 30 days of first accepting these Terms by emailing support@felyxjobs.com. 14. CHANGES We may update these Terms. We will ask you to accept the new version before you continue using the Service. The version you accepted and the date are recorded in your account. 15. GENERAL These Terms, the Privacy Policy and the Consent to Electronic Records and Signatures are the entire agreement. If any provision is unenforceable, the rest remains in effect.
